Catherine A. Lawton

Principal, Investment Banking

Kate Lawton is a Principal in the Investment Banking Group of Sandler O’Neill + Partners, L.P. Since joining Sandler O’Neill in 1993, she has been responsible for providing a wide range of investment banking services to community banks and thrifts, including general strategic planning, mergers and acquisitions and public and private capital raising transactions, including mutual-to-stock conversions. She has over 30 years’ experience serving financial institutions, including two years as a certified public accountant on the audit staff of a major accounting firm and nine years as an attorney in the financial institutions group of a New York law firm. Until February 2004, Ms. Lawton also served as the firm’s General Counsel.

Over the last decade, Sandler O’Neill has been regularly ranked among the top advisors to thrifts and credit unions undertaking conversion transactions, completing over 50 transactions during that time. These transactions include charter conversions, standard stock conversions, mutual holding companies (both no-stock and minority stock issuances) and second-step transactions, as well as more complex transactions pairing a conversion transaction with a simultaneous acquisition of another financial institution.

Ms. Lawton holds a Bachelor of Science in Business Administration from Georgetown University and a Juris Doctor from the University of Virginia School of Law. She is a frequent speaker at industry and regulatory conferences on issues impacting financial institutions and is active in various charitable organizations.
